1. Name your company
Before registering a private firm in Nepal, the investor/s must firstly secure their business name at the OCR. It is essential to confirm if the intended name of the company has not been previously taken or held in reserve.
2. Prepare documents
The memorandum and articles of association must be authenticated by a notary, and for now, a physical version of the two documents must be provided in accordance with the announcement released by the OCR on 10 August. All other documents should be submitted electronically.
3. Upload the documents
Following the completion of all the paperwork, they must be digitally converted and uploaded to the user's page on the OCR website.
4. Remember key points
1. The article and memorandum of associations must be printed on either Nepali paper or another durable material, and be composed on one side of the paper.
2. The text should be composed in plain Nepali language.
3. The bottom of each page of the articles and memorandum of association must be signed by all the founders. The last section of the articles and memorandum of association must feature the full names and addresses of the founders, the amount of shares to be taken, and their signatures with fingerprints beneath. It is mandatory to include the name, address, and signature of each witness of the founding shareholders.
4. At least one of the founding shareholders must appear in person at the shareholder's office to register the company.
